By accessing, browsing, or using the Miso Events platform (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Cubeworks Limited (去比星有限公司, UBN: 83217568) ("we", "us", or "the Company").

2. Company Information

The Platform is operated by Cubeworks Limited (去比星有限公司), a company registered in Taiwan (R.O.C.) with Unified Business Number (統一編號): 83217568. For all legal inquiries, please contact us at legal@misoevents.com.

3. Definitions

  • "Platform" refers to the Miso Events website, mobile applications, APIs, and all related services operated by Cubeworks Limited.
  • "User" refers to any individual who accesses or uses the Platform, whether as an attendee, organizer, or visitor.
  • "Organizer" refers to a User who creates, manages, or hosts events on the Platform.
  • "Attendee" refers to a User who registers for, purchases tickets to, or attends events listed on the Platform.
  • "Content" refers to text, images, videos, audio, event descriptions, comments, chat messages, and any other materials posted on or through the Platform.

4. User Accounts

To use certain features of the Platform, you must create an account. By creating an account, you agree to:

  • Provide accurate, current, and complete information during registration and keep your profile information up to date
  • Maintain the security and confidentiality of your login credentials. You are responsible for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account or any other security breach at legal@misoevents.com
  • Not create multiple accounts for deceptive purposes, or create accounts on behalf of others without their authorization

5. Event Creation & Management

If you create or manage events on the Platform as an Organizer, you agree to the following responsibilities:

  • Provide accurate, complete, and non-misleading event information including date, time, location, pricing, and event description
  • Comply with all applicable local, national, and international laws and regulations, including Taiwan consumer protection laws (消費者保護法), event safety regulations, and age-restriction requirements
  • Fulfill all commitments made to Attendees, including providing the event as described and honoring your stated refund policy
  • Handle Attendee data received through the Platform in compliance with the Taiwan Personal Data Protection Act (PDPA) and our Privacy Policy
  • Obtain and maintain all necessary permits, licenses, and insurance for your events. The Platform is not responsible for ensuring regulatory compliance of individual events.

6. Tickets & Payments

The following terms govern ticket purchases and payment processing on the Platform:

  • Ticket purchases create a binding agreement between the Attendee and the Organizer. The Platform acts as a technology intermediary and collection agent (代收代付), not as the seller of tickets.
  • Ticket prices are set by the Organizer and displayed in the currency specified (typically TWD or USD). All prices are inclusive of any applicable taxes unless otherwise stated by the Organizer.
  • Payments are processed through our third-party payment providers (Cubeworks/TapPay). The Platform does not directly handle or store credit card numbers.
  • A platform service fee may apply to paid events, as disclosed at the time of purchase. Free events incur no platform fees.
  • Tickets are non-transferable unless the Organizer explicitly enables transfer functionality for the event.

7. Platform Role & Collection Agent (代收代付)

Miso Events operates as a collection agent (代收代付) for event ticket sales, not as the seller. This means:

  • The contractual relationship for event attendance exists between the Organizer and the Attendee. We facilitate the transaction but are not a party to the event contract.
  • The Organizer is responsible for issuing e-invoices (電子發票) to Attendees for ticket purchases, as required by Taiwan tax law. The Platform provides tools to assist with this but the legal obligation rests with the Organizer.
  • Cubeworks Limited issues invoices only for the platform service commission charged to Organizers, which is a B2B transaction.

8. Refunds & Cancellations

Refund policies are determined by the Organizer for each event. The Platform facilitates refund processing subject to the following:

  • Each event's refund policy is displayed on the event page. Attendees should review the refund policy before purchasing tickets.
  • If an Organizer cancels an event, all Attendees are entitled to a full refund of the ticket price. The Platform will process such refunds within 14 business days.
  • Disputes between Attendees and Organizers regarding refunds should first be resolved directly between the parties. If resolution cannot be reached, either party may contact us at legal@misoevents.com for mediation assistance.

9. Code of Conduct

You agree not to use the Platform for any of the following prohibited activities:

  • Posting false, misleading, or fraudulent event information, or creating events with no genuine intent to host them
  • Harassing, threatening, intimidating, or bullying other Users, whether through chat, messages, or any other Platform feature
  • Violating any applicable laws or regulations, including but not limited to Taiwan criminal law, consumer protection law, or intellectual property law
  • Attempting to gain unauthorized access to other Users' accounts, Platform systems, or data through hacking, credential stuffing, or other means
  • Distributing spam, malware, or unsolicited commercial communications through the Platform
  • Engaging in ticket scalping, automated ticket purchasing (botting), or any activity that circumvents fair access to event tickets

10. Intellectual Property

Intellectual property rights on the Platform are governed as follows:

  • Platform IP: All software, design, trademarks, logos, user interface elements, and proprietary technology of the Platform are owned by or licensed to Cubeworks Limited and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Platform.
  • User Content: You retain full ownership of Content you create and upload to the Platform. By posting Content, you grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and reproduce your Content solely for the purpose of operating and promoting the Platform and your events.
  • DMCA / Takedown: If you believe your intellectual property rights have been infringed on the Platform, please contact us at legal@misoevents.com with details of the alleged infringement. We will investigate and take appropriate action in accordance with applicable law.

11. User Content

You are solely responsible for all Content you post, upload, or transmit through the Platform. You represent and warrant that:

  • You own or have obtained all necessary rights, licenses, and permissions to post the Content
  • Your Content does not infringe on any third party's intellectual property rights, privacy rights, or other legal rights
  • We reserve the right to remove or disable access to Content that violates these Terms, applicable law, or that we reasonably determine to be harmful, without prior notice

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT ENDORSE, VERIFY, OR GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF ANY EVENTS LISTED ON THE PLATFORM.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY TAIWAN LAW, CUBEWORKS LIMITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU HAVE PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) TWD 10,000.

14. Indemnification

You agree to indemnify, defend, and hold harmless Cubeworks Limited and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) any Content you post on the Platform.

15. Termination

Either party may terminate the relationship under these Terms as follows:

  • You may delete your account at any time through Settings > Account. Upon deletion, we will remove your personal data in accordance with our Privacy Policy.
  • We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent or illegal activity, or conduct that is harmful to other Users or the Platform.
  • Upon termination, your right to access and use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) shall continue in effect.

16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of China (Taiwan), without regard to its conflict of law principles. Any disputes arising from or related to these Terms or your use of the Platform shall be submitted to the exclusive jurisdiction of the Taiwan Taipei District Court (臺灣臺北地方法院) as the court of first instance. Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting a prominent notice on the Platform and updating the "Last updated" date. For changes that materially affect your rights or obligations, we will provide at least 30 days' notice before the changes take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and delete your account.

  • User Content: You retain full ownership of Content you create and upload to the Platform. By posting Content, you grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and reproduce your Content solely for the purpose of operating and promoting the Platform and your events.
  • DMCA / Takedown: If you believe your intellectual property rights have been infringed on the Platform, please contact us at legal@misoevents.com with details of the alleged infringement. We will investigate and take appropriate action in accordance with applicable law.

11. User Content

You are solely responsible for all Content you post, upload, or transmit through the Platform. You represent and warrant that:

  • You own or have obtained all necessary rights, licenses, and permissions to post the Content
  • Your Content does not infringe on any third party's intellectual property rights, privacy rights, or other legal rights
  • We reserve the right to remove or disable access to Content that violates these Terms, applicable law, or that we reasonably determine to be harmful, without prior notice

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT ENDORSE, VERIFY, OR GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF ANY EVENTS LISTED ON THE PLATFORM.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY TAIWAN LAW, CUBEWORKS LIMITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU HAVE PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) TWD 10,000.

14. Indemnification

You agree to indemnify, defend, and hold harmless Cubeworks Limited and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) any Content you post on the Platform.

15. Termination

Either party may terminate the relationship under these Terms as follows:

  • You may delete your account at any time through Settings > Account. Upon deletion, we will remove your personal data in accordance with our Privacy Policy.
  • We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent or illegal activity, or conduct that is harmful to other Users or the Platform.
  • Upon termination, your right to access and use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) shall continue in effect.

16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of China (Taiwan), without regard to its conflict of law principles. Any disputes arising from or related to these Terms or your use of the Platform shall be submitted to the exclusive jurisdiction of the Taiwan Taipei District Court (臺灣臺北地方法院) as the court of first instance. Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting a prominent notice on the Platform and updating the "Last updated" date. For changes that materially affect your rights or obligations, we will provide at least 30 days' notice before the changes take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and delete your account.

By accessing, browsing, or using the Miso Events platform (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Cubeworks Limited (去比星有限公司, UBN: 83217568) ("we", "us", or "the Company").

3. Definitions

  • "Platform" refers to the Miso Events website, mobile applications, APIs, and all related services operated by Cubeworks Limited.
  • "User" refers to any individual who accesses or uses the Platform, whether as an attendee, organizer, or visitor.
  • "Organizer" refers to a User who creates, manages, or hosts events on the Platform.
  • "Attendee" refers to a User who registers for, purchases tickets to, or attends events listed on the Platform.
  • "Content" refers to text, images, videos, audio, event descriptions, comments, chat messages, and any other materials posted on or through the Platform.

4. User Accounts

To use certain features of the Platform, you must create an account. By creating an account, you agree to:

  • Provide accurate, current, and complete information during registration and keep your profile information up to date
  • Maintain the security and confidentiality of your login credentials. You are responsible for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account or any other security breach at legal@misoevents.com
  • Not create multiple accounts for deceptive purposes, or create accounts on behalf of others without their authorization

5. Event Creation & Management

If you create or manage events on the Platform as an Organizer, you agree to the following responsibilities:

  • Provide accurate, complete, and non-misleading event information including date, time, location, pricing, and event description
  • Comply with all applicable local, national, and international laws and regulations, including Taiwan consumer protection laws (消費者保護法), event safety regulations, and age-restriction requirements
  • Fulfill all commitments made to Attendees, including providing the event as described and honoring your stated refund policy
  • Handle Attendee data received through the Platform in compliance with the Taiwan Personal Data Protection Act (PDPA) and our Privacy Policy
  • Obtain and maintain all necessary permits, licenses, and insurance for your events. The Platform is not responsible for ensuring regulatory compliance of individual events.

6. Tickets & Payments

The following terms govern ticket purchases and payment processing on the Platform:

  • Ticket purchases create a binding agreement between the Attendee and the Organizer. The Platform acts as a technology intermediary and collection agent (代收代付), not as the seller of tickets.
  • Ticket prices are set by the Organizer and displayed in the currency specified (typically TWD or USD). All prices are inclusive of any applicable taxes unless otherwise stated by the Organizer.
  • Payments are processed through our third-party payment providers (Cubeworks/TapPay). The Platform does not directly handle or store credit card numbers.
  • A platform service fee may apply to paid events, as disclosed at the time of purchase. Free events incur no platform fees.
  • Tickets are non-transferable unless the Organizer explicitly enables transfer functionality for the event.

7. Platform Role & Collection Agent (代收代付)

Miso Events operates as a collection agent (代收代付) for event ticket sales, not as the seller. This means:

  • The contractual relationship for event attendance exists between the Organizer and the Attendee. We facilitate the transaction but are not a party to the event contract.
  • The Organizer is responsible for issuing e-invoices (電子發票) to Attendees for ticket purchases, as required by Taiwan tax law. The Platform provides tools to assist with this but the legal obligation rests with the Organizer.
  • Cubeworks Limited issues invoices only for the platform service commission charged to Organizers, which is a B2B transaction.

8. Refunds & Cancellations

Refund policies are determined by the Organizer for each event. The Platform facilitates refund processing subject to the following:

  • Each event's refund policy is displayed on the event page. Attendees should review the refund policy before purchasing tickets.
  • If an Organizer cancels an event, all Attendees are entitled to a full refund of the ticket price. The Platform will process such refunds within 14 business days.
  • Disputes between Attendees and Organizers regarding refunds should first be resolved directly between the parties. If resolution cannot be reached, either party may contact us at legal@misoevents.com for mediation assistance.

9. Code of Conduct

You agree not to use the Platform for any of the following prohibited activities:

  • Posting false, misleading, or fraudulent event information, or creating events with no genuine intent to host them
  • Harassing, threatening, intimidating, or bullying other Users, whether through chat, messages, or any other Platform feature
  • Violating any applicable laws or regulations, including but not limited to Taiwan criminal law, consumer protection law, or intellectual property law
  • Attempting to gain unauthorized access to other Users' accounts, Platform systems, or data through hacking, credential stuffing, or other means
  • Distributing spam, malware, or unsolicited commercial communications through the Platform
  • Engaging in ticket scalping, automated ticket purchasing (botting), or any activity that circumvents fair access to event tickets

Intellectual property rights on the Platform are governed as follows:
